XBS TERMS AND CONDITIONS

1. INTRODUCTION AND ACCEPTANCE
1.1 About XBS
XBS ("we," "us," "our," or "the Platform") is a global online marketplace that connects buyers and sellers for products, services, rentals, and gigs. XBS is operated by [Your Legal Entity Name], a company registered in [Country/Jurisdiction].
1.2 Agreement to Terms
By accessing or using the XBS platform, mobile application, or any related services (collectively, "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use our Services.
1.3 Eligibility
You must be at least 18 years old to use XBS. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into binding contracts.
1.4 Account Registration
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Be responsible for all activities under your account
1.5 Changes to Terms
We reserve the right to modify these Terms at any time. Changes become effective immediately upon posting. Continued use of the Services after changes constitutes acceptance of the modified Terms.
2. USER ROLES AND RESPONSIBILITIES
2.1 Buyer Responsibilities
As a buyer, you agree to:
- Pay for items or services you purchase through the Platform
- Provide accurate shipping and contact information
- Review listings carefully before making purchases
- Communicate professionally and respectfully with sellers
- Report issues or disputes within designated timeframes
- Use the in-app dispute resolution process when problems arise
2.2 Seller Responsibilities
As a seller, you agree to:
- List only items you legally own or have authority to sell
- Provide accurate descriptions, images, and pricing
- Ship products within the specified timeframe (5 days for products)
- Deliver services as described and within agreed timelines
- Respond to buyer inquiries and booking requests promptly
- Maintain accurate inventory levels
- Comply with all applicable laws regarding your listings
- Not encourage or solicit buyers to transact outside the Platform
2.3 Prohibited Conduct
All users are prohibited from:
- Listing illegal items or services
- Engaging in fraudulent or deceptive practices
- Harassment, threats, or abusive language toward other users
- Attempting to circumvent Platform fees or payment systems
- Sharing contact information in chat images to avoid Platform oversight
- Manipulating trust scores or reviews
- Creating multiple accounts to abuse Platform features
- Using the Platform for money laundering or other illegal activities
- Uploading malicious code or attempting to hack the Platform
- Violating intellectual property rights of others
3. LISTING TYPES AND FEES
3.1 Product Listings
3.1.1 Listing Types:
- Fixed Price: Seller sets a price; buyer purchases immediately
- Auction: Buyers bid during a specified timeframe; highest bidder wins
- Donation: Free items (buyer may still pay shipping and platform fees)
3.1.2 Listing Fees:
- Most product listings: Free
- Automotive listings: 50 RON (or equivalent) per listing
- Pawn listings: May require additional fees and address verification
3.1.3 Transaction Fees:
- Platform fee: 5% of product price (paid by buyer)
- Shipping costs calculated by carrier and paid by buyer
- Seller receives product price minus payment processing fees
3.2 Service Listings
3.2.1 Remote Services (Digital/Online):
- Listing fee: Free
- Platform fee: 5% of service price (paid by buyer)
- Seller receives service price minus 8% (includes payment processing)
- Delivery timeframe: 1-60 days based on service tier
3.2.2 Offline Services (On-Site/Physical):
- One-time listing fee: 35 RON (or equivalent) to publish
- Payment required before listing goes live
- Price may be fixed or negotiable
3.2.3 Bookings:
- Booking reservation fee: ~10 RON (or currency equivalent)
- Fee is non-refundable, even if seller declines or cancels
- Booking fee secures time slot only; full service price negotiated separately
- Two booking types: Fixed hour (auto-confirmed) or Flexible hour (requires seller acceptance)
3.3 Rental Listings (Real Estate)
3.3.1 Rental Property Fees:
- Basic listing: 50 RON (or equivalent)
- With video: 100 RON
3.3.2 Property for Sale Fees:
- Basic listing: 500 RON (or equivalent)
- With video: 800 RON
3.3.3 Terms:
- Fees are one-time charges before listing goes live
- XBS facilitates connection only; rental/sale transactions occur off-platform
- Up to 12 media files per listing (maximum one video)
3.4 Work/Gig Listings
- Listing: Free
- Interest fee: ~10 RON (or equivalent) to unlock contact information
- Requires work safety awareness test before showing interest
- Platform does not escrow wages; payment arranged off-platform
3.5 Currency Support
XBS supports transactions in multiple currencies including:
- RON (Romanian Leu) - Default
- EUR (Euro)
- USD (US Dollar)
- GBP (British Pound)
Prices and fees will be displayed in the selected currency. Currency conversion rates are determined by our payment processor.
3.6 Automatic Listing Deactivation
Listings that receive no chat replies for 14 consecutive days will be automatically hidden (expired_inactivity). Sellers can reactivate these listings from their Expired Listings page. Certain listing types (e.g., automotive) may require payment of the original listing fee again upon reactivation.
4. PAYMENT TERMS
4.1 Payment Processing
All payments are processed through Stripe, a third-party payment processor. By using XBS, you agree to Stripe's terms of service and privacy policy. XBS does not store complete payment card information.
4.2 Payment Methods
Accepted payment methods include:
- Credit and debit cards (Visa, Mastercard, American Express)
- Apple Pay
- Other methods as made available through our payment processor
4.3 Payment Authorization and Capture
4.3.1 Products:
- Payment is authorized (held) when buyer completes purchase
- Funds are captured (charged) after successful delivery or when dispute window expires
- Authorization may be canceled if seller fails to ship within 5 days
4.3.2 Remote Services:
- Payment is authorized when buyer places order
- Seller has 12 hours to accept or decline order
- If accepted: payment is captured and work begins
- If declined or no response: authorization is canceled and buyer is not charged
- After successful delivery, payout is scheduled within approximately 24 hours
4.3.3 Immediate Capture:
The following fees are charged immediately:
- Booking reservation fees
- Listing fees (automotive, pawn, rentals, offline services)
- Sponsored ad fees
- Interest fees for work/gig listings
4.4 Seller Payouts
4.4.1 Payout Requirements:
To receive payments, sellers must:
- Provide complete and accurate banking information (legal name, date of birth, IBAN)
- Complete any additional identity verification requested by Stripe
- Maintain account in good standing
4.4.2 Payout Timing:
- Funds typically arrive within 1-3 business days after release
- Initial payouts may be delayed for verification purposes
- High-value transactions may require additional verification
4.4.3 Payout Holds:
We reserve the right to hold payouts if:
- There are unresolved disputes
- Suspicious or fraudulent activity is detected
- Additional verification is required
- Chargebacks or payment reversals are pending
4.5 Refunds
4.5.1 Product Refunds:
- Issued if seller fails to ship within 5 days
- Issued if buyer wins a dispute
- Processed to original payment method
- Typically completed within 5-10 business days
4.5.2 Service Refunds:
- Remote services: refunded if seller declines, doesn't accept within 12 hours, or fails to deliver within deadline/extension period
- Offline service listing fees: non-refundable once listing is published
- Booking fees: non-refundable under all circumstances
4.5.3 Non-Refundable Fees:
- Booking reservation fees (even if seller declines)
- Listing fees (automotive, rentals, offline services)
- Interest fees for work/gig contact unlocks
- Platform fees on completed transactions
4.6 Taxes
You are responsible for determining and paying any applicable taxes (VAT, sales tax, income tax, etc.) arising from your use of the Platform. XBS does not provide tax advice. Consult with a tax professional regarding your obligations.
5. TRANSACTION PROCESS
5.1 Product Purchase Flow
- Buyer selects product and completes checkout
- Payment is authorized (held on buyer's card)
- Seller has 5 days to ship the product
- Seller uploads package photo and shipping label; tracking begins
- Carrier delivers product to buyer
- Buyer has approximately 5-6 hours after delivery to report problems
- If no dispute: payment is captured, seller receives payout
- If dispute opened: held pending resolution
5.2 Service Order Flow (Remote)
- Buyer selects service/tier and pays
- Payment is authorized (held)
- Seller has 12 hours to accept or decline
- If accepted: payment captured, work deadline begins based on delivery days
- Seller completes work and uploads deliverables
- Payout scheduled approximately 24 hours after delivery marked
- If seller doesn't accept within 12 hours: order auto-expires, buyer refunded
5.3 Offers and Negotiations
5.3.1 Product Offers:
- Available only on fixed-price products where seller enables offers
- Seller sets maximum discount allowed (0%, 5%, 10%, 15%, 20%, or 30%)
- Buyer's offer must be within allowed range
- Minimum offer = list price × (1 - max_discount/100)
- Product automatically added to buyer's favorites when offer sent
- Seller can accept, decline, or counter
- Accepted offer price valid for 24 hours (12 hours for auction offers)
- Buyer cannot send another offer for 24 hours while pending offer exists
- After rejection: buyer can immediately submit new offer
5.3.2 Quantity Requests:
- Buyer sends quantity request card in chat for multiple units
- Seller accepts or declines via card interface
- If accepted: buyer has 3-hour window to complete purchase
- Cannot exceed confirmed quantity or available inventory
5.4 Auctions
- Buyers submit bids until timer expires
- Each bid must exceed current highest bid
- Winner has 12 hours to complete payment
- Failure to pay results in trust score penalty (-15 points)
- Separate auction offer system available with different rules
5.5 Shipping and Delivery
5.5.1 Shipping Costs:
- Calculated by carrier (Fan Courier in Romania)
- Based on package size, weight, and destination
- Displayed before buyer completes payment
- Paid by buyer at checkout
5.5.2 Shipping Addresses:
- Buyers can save up to 3 addresses
- Sellers must provide pickup address
- Accurate addresses required for successful delivery
5.5.3 Delivery Tracking:
- Available on order page after seller ships
- Updates provided by carrier
- Delivery confirmation triggers dispute window
5.5.4 Failed Delivery:
- Seller fails to ship within 5 days: automatic refund to buyer, trust penalty to seller (-20 points)
- Package lost or damaged in transit: contact support for resolution
- Incorrect address provided by buyer: buyer responsibility
6. DISPUTES AND PROBLEM RESOLUTION
6.1 Dispute Eligibility
- Available for product orders only
- Must be initiated within approximately 5-6 hours after delivery
- Accessed through Orders → specific order → Report Problem
6.2 Dispute Process
- Buyer submits dispute with description and evidence
- AI reviews submission and evidence from both parties
- Decision rendered based on evidence
- Losing party receives trust score penalty (typically -10 points)
- Refunds issued if buyer prevails
6.3 Valid Dispute Reasons
- Item not as described
- Item damaged or defective
- Wrong item received
- Missing parts or accessories
- Counterfeit or prohibited items
6.4 Invalid Disputes
Opening disputes without valid reason results in trust score penalties (-5 to -10 points). Examples of invalid disputes:
- Buyer's remorse or change of mind
- Issues that could be resolved through communication
- Complaints about shipping time (if within stated timeframe)
- Personal preference regarding subjective qualities
6.5 Escalation to Support
Contact human support when:
- Technical issues prevent normal platform use
- Payment charged but order never created
- Account access issues
- Legal matters or account deletion requests
- Disputes involving significant value or complexity
7. TRUST SCORE SYSTEM
7.1 Purpose
The trust score is a public metric displayed on user profiles to help community members assess reliability. It reflects platform behavior, not star ratings.
7.2 Starting Score
All users begin near 0 points.
7.3 Trust Score Increases

7.5 Trust Score Impact
- Visible to all users on your profile
- Influences buyer/seller confidence
- May affect eligibility for certain features
- Cannot be manipulated or purchased
- Reflects cumulative platform behavior
8. CONTENT AND INTELLECTUAL PROPERTY
8.1 User-Generated Content
You retain ownership of content you post (listings, photos, descriptions, reviews). By posting content, you grant XBS a worldwide, non-exclusive, royalty-free license to:
- Display, reproduce, and distribute your content on the Platform
- Use your content for marketing and promotional purposes
- Modify or adapt content for technical requirements
- Allow other users to view and interact with your content
8.2 Content Moderation
XBS uses AI and manual review to moderate content. We reserve the right to:
- Review all listings before publication
- Reject listings that violate policies
- Remove content that violates Terms or applicable law
- Suspend or terminate accounts for repeated violations
- Report illegal content to authorities
8.3 Prohibited Content
You may not post content that:
- Violates intellectual property rights of others
- Contains false, misleading, or deceptive information
- Promotes illegal goods or services
- Contains malware or harmful code
- Includes personal information of others without consent
- Is pornographic, obscene, or sexually explicit
- Promotes hate speech, violence, or discrimination
- Violates privacy rights
- Infringes on trademarks, copyrights, or patents
8.4 Intellectual Property Infringement
If you believe content on XBS infringes your intellectual property rights, contact us with:
- Description of the copyrighted work or trademark
- Location of infringing content on the Platform
- Your contact information
- Statement of good faith belief that use is unauthorized
- Statement that information is accurate and you're authorized to act
8.5 XBS Intellectual Property
XBS trademarks, logos, design, software, and content are owned by XBS or its licensors. You may not use, copy, or distribute XBS intellectual property without written permission.
9. PRIVACY AND DATA PROTECTION
9.1 Data Collection
XBS collects and processes personal data necessary to provide Services, including:
- Account information (name, email, location)
- Payment information (processed by Stripe)
- Transaction history
- Communication records
- Device and usage data
- Identity verification documents
- User-generated content
9.2 GDPR Compliance
For users in the European Union:
- You have rights to access, rectify, erase, and port your data
- You may object to or restrict certain processing
- You may withdraw consent at any time
- You may lodge complaints with supervisory authorities
- XBS acts as data controller for platform operations
- As a recent CJEU ruling confirms, XBS may be considered a controller for personal data in user-generated advertisements
9.3 Data Sharing
XBS may share your data with:
- Other users (as necessary for transactions)
- Payment processors (Stripe)
- Shipping carriers
- Service providers and business partners
- Law enforcement or regulatory authorities (when legally required)
9.4 Data Security
We implement industry-standard security measures to protect your data. However, no system is completely secure. You acknowledge and accept the inherent risks of transmitting data over the internet.
9.5 Data Retention
We retain your data for as long as necessary to provide Services and comply with legal obligations. You may request account deletion through Account Settings or by contacting support.
9.6 Privacy Policy
Our Privacy Policy, available on the Platform, provides additional details about data practices and forms part of these Terms.
10. COMMUNICATION AND CHAT
10.1 In-App Chat
XBS provides in-app chat for users to communicate regarding transactions. You agree to:
- Use chat professionally and respectfully
- Keep transaction-related communication within the Platform
- Not share external contact information to circumvent platform fees
- Not send spam, harassment, or abusive messages
10.2 Chat Monitoring
XBS may monitor chat messages to:
- Enforce Terms and policies
- Detect prohibited conduct
- Resolve disputes
- Improve Services
- Comply with legal obligations
10.3 Automated Cards and Checkpoints
The Platform generates automated cards in chat for actions like offers, quantity requests, bookings, and tracking. These cards organize transaction flow and create checkpoints users can collapse for easier navigation.
10.4 Image Reporting
Users can report inappropriate or suspicious images sent in chat. Reported images are reviewed, and violators may face penalties including trust score reduction and account suspension.
10.5 XBS Payments Bot
The XBS Payments bot is an automated system chat for Stripe verification requirements. It is not a human support agent and does not accept typed messages. Follow the prompts and buttons provided.
10.6 Kira Support AI
Kira is an AI-powered support assistant accessible through Profile → Support Chat. Usage is limited to approximately 50 messages per hour. Sessions auto-end after 5 hours of inactivity or when user selects "End Chat."
11. IDENTITY VERIFICATION
11.1 Verification Process
Users may verify their identity to increase trust score (+15 points). Verification requires:
- Face scan or ID document upload
- Comparison against profile information
- Processing by third-party verification service
11.2 Verification Benefits
- Increased trust score
- Higher buyer/seller confidence
- Potential access to additional features
11.3 Maintaining Verification
Changing your profile photo after verification removes verified status and deducts 15 trust points. Re-verification is required.
11.4 Additional Verification
High-value transactions or seller accounts may require additional verification from Stripe. This process occurs through the XBS Payments bot. Failure to complete verification may result in payout holds.
12. ACCOUNT SUSPENSION AND TERMINATION
12.1 Suspension Grounds
XBS may suspend your account if:
- You violate these Terms
- You engage in fraudulent or illegal activity
- You repeatedly receive trust score penalties
- Your account poses security risks
- Required verification is not completed
- Chargebacks or payment disputes occur
12.2 Termination Rights
XBS reserves the right to terminate accounts at our discretion, with or without notice, for violations of these Terms. We may also terminate accounts that remain inactive for extended periods.
12.3 User-Initiated Termination
You may request account deletion by:
- Contacting support through proper channels
- Following account deletion process in settings (where available)
Account deletion does not relieve you of obligations for completed transactions or pending disputes.
12.4 Effect of Termination
Upon termination:
- Access to Services is revoked
- Active listings are removed
- Pending transactions must be completed or refunded
- Outstanding payouts are processed (subject to holds)
- Data is retained as required by law or policy
13. DISCLAIMERS AND WARRANTIES
13.1 Platform Role
XBS is a marketplace platform that facilitates connections between buyers and sellers. We are not a party to transactions between users. We do not:
- Guarantee the quality, safety, or legality of listings
- Verify all user representations or claims
- Guarantee transaction completion or satisfaction
- Control user conduct outside the Platform
13.2 "AS IS" Basis
Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Uninterrupted or error-free service
- Accuracy or completeness of content
- Security of data transmission
13.3 Third-Party Services
We rely on third-party services including Stripe (payments) and Fan Courier (shipping). We are not responsible for failures, errors, or issues arising from third-party services.
13.4 User Transactions
Buyers and sellers transact at their own risk. XBS provides tools and policies to facilitate safe transactions but cannot guarantee outcomes. You are responsible for:
- Evaluating listings and other users before transacting
- Verifying product descriptions and conditions
- Understanding seller policies and timelines
- Following platform processes and dispute procedures
13.5 No Guarantee of Seller Performance
We do not guarantee that sellers will:
- Ship products as described or on time
- Deliver services as promised
- Respond to messages or booking requests
- Maintain adequate inventory
- Comply with applicable laws
13.6 AI Content Moderation
AI moderation is not perfect. Prohibited content may occasionally appear, and legitimate content may be incorrectly rejected. We continuously improve moderation but cannot guarantee complete accuracy.
14. LIMITATION OF LIABILITY
14.1 Liability Cap
To the maximum extent permitted by law, XBS's total liability for any claims arising from or related to these Terms or Services shall not exceed the greater of:
- €100 (or equivalent)
- The fees paid by you to XBS in the 12 months preceding the claim
14.2 Excluded Damages
XBS shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Lost profits, revenue, data, or business opportunities
- Loss of goodwill or reputation
- Cost of substitute services
- Personal injury or property damage (except as required by law)
This limitation applies regardless of legal theory (contract, tort, negligence, strict liability, or otherwise) even if XBS was advised of the possibility of such damages.
14.3 User Disputes
XBS is not liable for disputes between users. Disputes must be resolved between the parties involved. Our dispute resolution system is a tool to assist but does not create liability on XBS's part.
14.4 Force Majeure
XBS is not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including:
- Natural disasters
- War, terrorism, or civil unrest
- Government actions or restrictions
- Internet or telecommunications failures
- Third-party service failures
- Pandemics or public health emergencies
14.5 Statutory Rights
Nothing in these Terms limits your statutory consumer rights where such limitations are prohibited by law.
15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless XBS, its affiliates, officers, directors, employees, agents, and licensors from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising from or related to:
- Your use or misuse of Services
- Your violation of these Terms
- Your violation of any law or regulation
- Your violation of third-party rights (intellectual property, privacy, etc.)
- Content you post on the Platform
- Transactions with other users
- Your negligence or willful misconduct
This indemnification obligation survives termination of these Terms and your use of Services.
16. GOVERNING LAW AND DISPUTE RESOLUTION
16.1 Governing Law
These Terms are governed by the laws of [Your Jurisdiction/Country], without regard to conflict of law principles.
16.2 Jurisdiction
For users in the European Union: disputes may be resolved in the courts of your country of residence or our registered location, as applicable under EU consumer protection law.
For users outside the EU: you agree to the exclusive jurisdiction of the courts located in [Your Jurisdiction/Country].

17. SPECIAL PROVISIONS
17.1 Neighborhood Reviews (Rentals)
Users may post reviews about neighborhoods on rental listings. To post a review:
- You must be within approximately 10 km of the listing (based on profile location)
- Reviews should be honest, factual, and relevant to the area
- Reviews must not contain offensive, defamatory, or false information
- XBS reserves the right to remove reviews that violate policies
17.2 Location Updates
Users may update their location (city) in profile settings approximately every 60 days. This limitation prevents abuse of location-based features.
17.3 Favorites and Saved Listings
- Users can favorite listings for later reference
- Sending an offer automatically favorites the product
- Favorites are private and not visible to other users
17.4 Sponsored Ads
Sellers may create sponsored advertisements to promote listings. Sponsored ad terms and pricing are specified at the time of creation. Sponsored ad fees are non-refundable once the campaign begins.
17.5 Multi-Language Support
XBS supports multiple languages (English, Romanian, Italian, French, Spanish, German). Content is displayed in the user's selected language where translations are available. Users are responsible for ensuring their listings are accurately translated if listing in multiple languages.
17.6 Currency Display
Prices are displayed in the user's selected currency. Actual charges may vary slightly due to currency conversion rates and fees applied by payment processors.
18. MISCELLANEOUS
18.1 Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or policies published on the Platform, constitute the entire agreement between you and XBS regarding Services.
18.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
18.3 Waiver
Failure by XBS to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
18.4 Assignment
You may not assign or transfer these Terms or your account without our written consent. XBS may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.
18.5 Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated.
18.6 Survival
Provisions that by their nature should survive termination (including but not limited to liability limitations, indemnification, dispute resolution, and intellectual property rights) shall survive termination of these Terms.
18.7 Notices
XBS may provide notices to you via:
- Email to your registered address
- In-app notifications
- Posting on the Platform
Notices are effective upon sending or posting.
18.8 Language
These Terms may be provided in multiple languages for convenience. In case of conflict between translations, the English version shall prevail to the extent permitted by law.
18.9 Headings
Section headings are for convenience only and do not affect interpretation of these Terms.
18.10 Force Majeure
